Terms and Conditions

These Terms and Conditions constitute a binding contract between you and YOUR MATES TECH S.L. (hereinafter, “Mate”), and we want to make sure you are fully informed of all your rights and obligations before using the application. It is essential that you carefully read these Terms before starting to use Mate. Please be aware that by using the application, you are legally bound by the terms of this contract.In Clause 10 of this contract, you will find the provisions governing how dispute resolutions between YOUR MATES TECH S.L. and the client will be handled.

‍PURPOSE
‍Mate is a social network that allows users to connect with others to arrange recreational plans and social gatherings. Through Mate’s platform (hereinafter referred to as the “App”), each registered user can create a friend list to interact with and organize group activities.

‍MATE RULES1.1 Registration:
To use the App, registration is required. You are not permitted to register if you do not meet all the following conditions. Therefore, to use the Mate App, you must (i) be at least 18 years old, (ii) be legally competent to contract under the laws of your country, (iii) have only one account in our services, and (iv) not have been previously removed from our platform, unless expressly authorized to do so.Accounts may be created either by manual registration (email and password) or through Apple or Google login services.We do not permit the use of someone else’s account or sharing of individual accounts among multiple users. Mate monitors the use by minors and may cancel, suspend, or request verification if there is reason to believe a user is underage. Likewise, any account created fraudulently will be automatically canceled.Based on the above, the User warrants that the personal data provided is true and accurate and agrees to notify Mate of any changes or updates.

‍Registration through Third-Party Platforms
The User may register and access the App through third-party authentication services, such as Apple, Google, or similar services (hereinafter, “Third-Party Platforms”). By choosing this registration option, the User authorizes the transfer of specific personal data, such as name, email address, and other information authorized for transfer by the Third-Party Platform, under the terms and conditions governing the User’s relationship with said Third-Party Platform.The collection and use of information provided through Third-Party Platforms are subject to the privacy policies and terms of those platforms. Mate accepts no responsibility for the operation, availability, or security of Third-Party Platforms nor for their handling of User information.The User acknowledges and agrees that access to or interaction with our platform through a Third-Party Platform is also governed by the terms and policies of that platform, which may differ from these Terms and Conditions. Mate is not liable for any issues resulting from authentication or the use of credentials provided by Third-Party Platforms.

‍User Responsibilities:
You agree to:Comply with these Terms and regularly review this page for updates.Act in accordance with current laws regarding privacy, intellectual property, and anti-spam regulations.The following behaviors and/or actions are prohibited, including but not limited to:Impersonating another person or entity in identity, age, or affiliations.Using the App in a way that damages it or prevents others from using it.Interfering with, disrupting, or negatively affecting the App, its services, or related networks.Harassing, intimidating, stalking, abusing, assaulting, defaming, or otherwise harming others or causing psychological harm.Posting or sharing prohibited content.Soliciting passwords or personally identifiable information from others for commercial or unlawful purposes or disseminating someone’s personal information without consent.Requesting money or other valuables from other users as a gift, loan, or compensation.Using another user’s account.Engaging in fraudulent practices, pyramid schemes, or similar activities through our App.Using the App to fund political campaigns or influence elections, except to share personal political opinions.Copying, modifying, transmitting, distributing, or creating derivative works from any member content, Mate content, material, images, trademarks, trade names, or service marks without prior written consent from Mate.Using bots, crawlers, site search/retrieval applications, proxies, or other devices to access, retrieve, index, “data mine,” or bypass our Services’ navigation or presentation structure.Uploading viruses or other malicious code that compromises the App’s security.Forging headers or manipulating identifiers to conceal the origin of any information transmitted to or through our App.Modifying, adapting, sublicensing, translating, selling, reverse engineering, deciphering, decompiling, or disassembling any part of the App or content within Mate’s App or permitting others to do so.Promoting or participating in activities that violate these Terms.Creating a new account after Mate has suspended or terminated your account, unless express permission is received.Filing false, misleading, or obviously unfounded complaints about a member’s behavior or content or misusing Mate’s reporting or appeal systems.Creating a profile on the App solely to promote other services or redirect users to another platform, nor engaging in such promotions on your personal profile.Using private third-party information for publication, or using images that may infringe on third-party privacy or rights.Buying, selling, or transferring accounts.Using the App to spread hateful, violent, racist, religious, discriminatory, harmful, abusive, health-threatening, or pornographic messages.Using the App to advertise, sell, or promote personal and/or third-party products or services.Posting offensive, harassing, obscene, pornographic, violent, threatening, discriminatory, or hate-promoting content, including racism, sexism, or intolerance.Posting content that encourages illegal activities, terrorism, self-harm, eating disorders, dangerous challenges, violent extremism, defamatory, injurious, or false content.Posting content related to inappropriate commercial activities, spam transmission, or malicious software, such as viruses or spyware.Content uploaded to and/or published on the App is the sole responsibility of the User posting such content, thereby absolving Mate of liability for any issues arising from such content.If you detect a User using the App for purposes other than stipulated in these Terms and Conditions, or in an inappropriate or unlawful manner, you may contact us at the following email: contact@mateapp.es or report such behavior through the relevant section in the App.

‍MATE'S RESPONSIBILITIES
‍Mate is solely a social network where registered Users can connect and organize plans with other Users who belong to their friend list or the Mate community. Mate is not responsible for the authenticity, accuracy, reliability, legality, or possible infringements of third-party rights by Users. In this sense, Users understand that we are an independent company that provides the App to them, and we assume no liability arising from the information provided by Users, nor for any damages or losses that third parties may suffer due to posts or due to the Users' failure to comply with these Terms and Conditions.Users are entirely responsible for accessing and correctly using their accounts on Mate and the content within the App, subject to the current laws, national or international, as well as principles of good faith, morals, and public order. Specifically, Users undertake to diligently observe and comply with these Terms and Conditions.Users must not use their profile or any other App content for illicit purposes that may harm third-party rights or interests or damage, disable, affect, or deteriorate the App, its content, and its services. Likewise, preventing other Users from normal use or enjoyment of the App is strictly prohibited.Mate is not responsible for editing content and explicitly states that it does not identify with any opinions that Users may express on the App, for which Users are solely responsible for the consequences of such expressions.Mate assumes no responsibility for interactions between users of the App.Any breach of such obligations will render the User liable for any damage or harm caused. Mate is not liable for any consequences, damages, or losses resulting from unlawful access or use by third parties.In addition to the above, and to the extent permitted by law, Mate will not be liable for any personal, incidental, special, direct, or indirect damages, including, without limitation, damages for loss of profits, loss of data, business interruption, or any other commercial damage or loss related to the use or inability to use the App, regardless of cause, theory of liability (contract, tort, or otherwise), even if the User has been advised of the possibility of such damages.

‍TYPES OF CONTENT IN MATE
‍There are three types of content accessible on the Mate App:Content you upload and provide (hereinafter, "Your Content");Content provided by other members (hereinafter, "Member Content");Content provided by Mate (including, without limitation, database(s) and/or software) (hereinafter, "Our Content").It is crucial to understand your rights and responsibilities regarding content within our Services. Certain content is not permitted on Mate.While we encourage our users to express themselves freely, we must impose restrictions on content that:Contains language or images that may be deemed offensive or that may harass, embarrass, alarm, or irritate any other person (including, but not limited to, language that may be considered discriminatory towards race, color, ethnicity, national origin, religion, disability, sexual orientation, gender expression, gender identity, or physical appearance).Is obscene, pornographic, violent, or otherwise offensive to human dignity.Is abusive, insulting, threatening, discriminatory, or promotes or incites racism, sexism, hate, or intolerance.Promotes illegal activities, including but not limited to terrorism, hate speech, or the commission of a criminal offense.Is defamatory or libelous.Is related to commercial activities (including, but not limited to, sales, contests, advertising, links to other websites, or premium-rate phone numbers).Involves the transmission of "junk mail" or "spam."Contains spyware, adware, viruses, corrupt files, worms, or other malicious code.Infringes on third-party rights (including, but not limited to, intellectual property rights and privacy rights).Displays another person without their consent.Is harmful to minors.Impersonates any other person, including a false statement of your name.Mate does not tolerate this type of content. For more information, please consult the guidelines established in these Terms and Conditions. Likewise, any infringing content may be reported by Users through the reporting tools available in the App.

‍Your Content:
Using the Mate App allows the User to send digital content via chat or chats. Such digital content may include messages, photos, audios, sounds, among others.You are responsible for Your Content and must ensure that it complies with our guidelines, which are periodically updated. As its sole author, you are responsible and legally accountable for Your Content, and you indemnify, defend, release, and hold us harmless from any claim related to Your Content.You must not display personal contact or banking information in your individual profile, whether it is yours or someone else’s. If you choose to disclose any personal information to other users via email, chat, or otherwise, you do so at your own risk. We recommend using the same caution in sharing personal details online as you would in any other situation.Since Mate is a public community, Your Content will be visible to other users of the App, so please ensure you are comfortable sharing it before posting. By uploading Your Content to Mate, you declare that you own all intellectual property rights to such content or have sufficient licenses in place and that it does not infringe the rights of third parties. Thus, the User is solely responsible for any damages incurred from sharing such content, expressly releasing the Company from any third-party claims arising from such content.The authorship and ownership of the content that each User shares on the App remain with the User. Nevertheless, the User grants a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to our affiliates and successors without prior approval to use, copy, edit, modify, translate, exploit, distribute, and reproduce such content, including the User's name and profile photo on Mate.We have no obligation to store Your Content, so if it is important to you, please make a copy.To prevent unauthorized use of Your Content by other members or third parties outside the App, you authorize us to act on your behalf concerning such unauthorized uses. This includes the authority, but not the obligation, to send takedown notices on your behalf if Your Content is misappropriated by third parties outside the App.

‍Member Content:
Other Mate members also share content through the App. Member Content belongs to the user who posted it and is stored on our servers and displayed on the App according to the user’s instructions.You have no rights over Member Content and may only use other users' personal information as it aligns with the App's purpose of facilitating social connections. You may not use other users' information for commercial purposes, spamming, harassment, stalking, or illegal threats. We reserve the right to terminate your account if you misuse other users' information.

‍Our Content:
All other content on Mate is our property. This includes, but is not limited to, text, content, graphics, user interfaces, trademarks, logos, sounds, proprietary intellectual property displayed on the App, and the App’s software and database(s). YOUR MATES TECH S.L. owns this content, protected by copyright, trademark, and other intellectual property laws. All rights, titles, and interests in Our Content remain with us at all times.We grant you a limited, non-exclusive, personal, non-transferable, revocable license to access and use Our Content for personal, non-commercial purposes only, subject to the following conditions:You must not use, sell, modify, or distribute Our Content except as permitted by the App's functionality.You must not use our name in metatags, keywords, or hidden text.You must not create derivative works from Our Content, disassemble, decompile, analyze, or exploit it for commercial purposes.You may only use Our Content for lawful purposes.All other rights are reserved.

‍NO OBLIGATION TO MODERATE CONTENT PUBLICATION
Since Mate is an online community, we generally avoid intervening in User interactions and therefore do not assume any obligation to moderate the publication of Your Content or Member Content. However, we reserve the right to review, moderate, reject, or delete any Member Content or Your Content, including content exchanged between users in direct messages, while always ensuring data privacy in line with the Privacy Policy.

‍PRIVACY
All personal data provided by the User through the App will be treated confidentially and per Spanish Organic Law 3/2018 on Data Protection and Guarantee of Digital Rights, as well as Regulation (EU) 2016/679 (GDPR). For information on how Mate collects, processes, uses, and shares registered users' data, please refer to our Privacy Policy.

‍ACCOUNT CANCELLATION/DELETION
If you decide to stop using our Services or if we cancel your account for any reason, here is what you need to know:You may delete your account at any time by logging into the Mate App, going to “Settings,” selecting “Delete Account,” and following the steps to complete the process.Mate reserves the right to investigate and, if necessary, suspend or cancel your account if we believe you have violated our Terms, misused our Services, or behaved inappropriately or unlawfully within or outside our Services. We may take any action to enforce these Terms without liability or prior notice, including blocking your access to the Services.If your account is canceled, either by you or by Mate, these Terms will remain effective, and you will not be entitled to any refund for purchases made. Your personal information will be managed and deleted according to our Privacy Policy, except where retention is legally required.

‍NOTIFICATIONS AND LOCATION-BASED FUNCTIONS
Mate may send you emails, text messages, push notifications, alerts, and other messages related to our App and services, such as updates, offers, products, events, and other promotions. After downloading the App, you will be asked to accept or reject push notifications/alerts. If you decline, you will not receive push notifications/alerts. If you accept, notifications will be sent automatically. At any time, you may opt out of push notifications by changing your mobile device’s notification settings or adjusting notifications within the App under the “Notifications” section.For other messages or communications, such as emails or text messages, you may unsubscribe by following the specific instructions in these communications or by sending an email request to contact@mateapp.es.The App may have location-based features to provide certain services. Therefore, for these services, your mobile device’s location function must be activated.Mate may use GPS, Bluetooth, or other location software on your mobile device to provide you with opportunities to view specific content and access products, recommendations, services, and/or materials based on your geographic location. To use these location-based services, you must allow Mate to access your location information. If you have set your device to disable GPS, Bluetooth, or other location services, or if you do not authorize the App to access your location data, you will not be able to access such location-specific content, products, services, and materials. For more information on how the App uses and retains your information, please review our Privacy Policy.

‍ADVERTISEMENTS AND THIRD-PARTY CONTENT
As a Mate user, you may see advertisements or promotions from third parties within our App. Mate is not responsible for user interactions with these third-party products or services.Our services may include advertisements and promotions offered by third parties, as well as links to external websites or resources. Occasionally, Mate may provide non-commercial links or references to third-party websites within its content. Note that Mate is not responsible for the availability or content of these external websites or resources. Additionally, Mate does not endorse or guarantee the products or services offered by third-party websites or resources.If you choose to interact with third parties available through our Services, the terms and conditions of those third parties will govern your relationship with them. None of the entities advertised during the use of the App belong to Mate; therefore, Mate assumes no liability for any actions by advertisers or their entities.Any relationship you maintain with an advertiser through the App releases Mate from any responsibility. This relationship is exclusively between you and the advertiser.Therefore, Mate is not responsible for the Terms, conditions, or actions of these third parties. We recommend carefully reviewing the policies and Terms of service of any third party before engaging with them or using their services.Third parties advertising on Mate have explicit permission to advertise their products and services through the App. The User will not receive any compensation for such advertisements.

‍INTELLECTUAL PROPERTY
‍All content related to trademarks, domains, logos, designs, documentation, software, programs, or any element subject to Intellectual or Industrial Property law accessible to Users is owned by Mate and/or licensed, with all usage rights expressly reserved.Authorization to access and use the App and the services offered within does not imply a transfer of intellectual or industrial property rights except as explicitly provided. The User may only use such material in the manner expressly authorized by Mate.Any improper use of the App or violation of these obligations may result, at Mate’s discretion, in account cancellation or App suspension until the issue is resolved. We reserve the right to take appropriate action for any non-compliance.The App grants the User a limited license to access and use the App and its services for personal purposes only. This license grants only the necessary intellectual property rights for fulfilling these Terms, is non-exclusive, worldwide, and is limited to the duration of the contractual relationship under these Terms. Mate grants no other license or authorization for use of its Intellectual and Industrial Property rights beyond those explicitly detailed here.Additionally, the User agrees not to remove, alter, manipulate, or otherwise modify:Any notes, legends, indications, or symbols that Mate or legitimate rights holders include on their intellectual property (e.g., copyright, ©, ®, ™, etc.).Any technical protection or identification devices belonging to Mate (e.g., watermarks, digital fingerprints, etc.).The User acknowledges that, under these Terms, Mate does not transfer any rights over its Intellectual and/or Industrial Property titles or those of third parties. Mate authorizes the User only to access and use these rights per these Terms and Conditions.The User is not authorized to copy, distribute, transmit, communicate, modify, alter, transform, assign, or otherwise engage in commercial use of Mate’s Intellectual and/or Industrial Property rights, partially or entirely, without express written consent from the rightful owner.Mate reserves all rights to its Industrial and/or Intellectual Property. We also reserve the right to terminate or modify any licenses granted under these Terms at any time.

‍IMAGE RIGHTS ASSIGNMENT
The User grants Mate the rights to use their image contained in photographs uploaded or provided by the User to Mate, in accordance with the following terms:The User consents to assign the rights of their image for purposes of using such images on the Platform, always within the context and purpose of Mate.The User also authorizes Mate to use their image for proper promotion of Mate’s services on the Platform.The assignment is non-exclusive, and Mate may use such material without monetary compensation, without geographical or temporal limitations.

‍CLAIMS
‍For any claims or issues attributable to Mate related to the App, we have a claims procedure that begins through Mate’s Customer Service: contact@mateapp.es. Once communication has been initiated, we will work with the User to gather the necessary information about their claim or issue.Mate commits to responding to the User within seventy-two (72) hours from receipt of the claim.

‍TERMINATION
‍These Terms take effect on the date you accept them and continue until they are terminated as per these Terms or until the User’s account is canceled.If you wish to terminate these Terms, you may do so by (a) notifying Mate at any time at the email address provided (contact@mateapp.es) or (b) deleting your account from the “Delete Account” section within the App.Mate may terminate or suspend these Terms, including your account, if you breach these Terms or if Mate is legally required to do so. You agree that all terminations for cause will be at Mate’s sole discretion, and Mate will not be liable to you or any third party for any account termination.If Mate determines, at its sole discretion, that you have breached any part of these Terms or have engaged in inappropriate conduct within the App, Mate reserves the right to: (a) warn you via email (to any address you have provided to Mate) that you have violated the Terms; (b) delete Your Content; (c) discontinue your account; (d) discontinue your subscription service; (e) notify and/or share Your Content with relevant law enforcement authorities for additional actions; and/or (f) take any other action Mate deems appropriate.Termination of these Terms or your account includes the removal of access to your account and all related information and content associated with or within your account.All provisions of these Terms that by their nature should survive termination will continue to apply after termination.

‍SEVERABILITY
‍If any clause of these Terms and Conditions is declared void or invalid, it will be considered not included. Such a declaration of nullity will not affect the validity of the remaining terms, which will remain in full force and effect.

‍APPLICABLE LAW AND JURISDICTION
Our Content, Member Content, and any claims arising from or related to your relationship with Mate are governed by the laws of Spain.All claims arising from or related to these Terms and/or your relationship with Mate shall be exclusively litigated in the courts of the city of Barcelona, Spain. You agree that such courts have personal jurisdiction and waive any objection based on inconvenient forum.Users may also resolve any issues arising during the contractual relationship amicably through the European Commission’s platform: https://webgate.ec.europa.eu/odr/main/index.cfm?event=main.home.show&lng=ES.

‍APP UPDATES AND MODIFICATIONSMate reserves the right to modify the App’s structure, configuration, and design, as well as these Terms and the Privacy Policy, at any time without prior notice. Users should read these Terms carefully upon accessing the App.In any case, navigation and simple access to the App implies acceptance of any modifications introduced. An updated version of these Terms will be permanently available on Mate’s website.Mate does not guarantee that there will be no interruptions or errors in accessing the App or its content, nor that Mate’s website will always be up-to-date. However, Mate will carry out all necessary efforts to rectify any errors, restore communication, and update content as soon as such issues are brought to our attention.In the event of any changes to these Terms, they will be published in the App, with the date of publication indicated, so the User knows when these modifications have taken effect. In any case, the User will receive an electronic notification regarding the update of Mate’s Terms before their publication in the App.

‍ACCEPTANCE OF TERMS AND CONDITIONS
These Terms constitute a legally binding agreement between you, the user, and YOUR MATES TECH S.L. The Terms were last updated on 01/11/2024.
