Terms and Conditions
These Terms and Conditions represent a contract between you and YOUR MATES TECH S.L., and we want you to be aware of all your rights and obligations before using the application. It is very important that you take a moment to carefully read these Terms before you start enjoying Mate. You should consider that once you start using the application, you will be legally bound by the terms of this contract.Clause 10 of this contract outlines the provisions governing the resolution of disputes between YOUR MATES TECH S.L. and the customer.
1. MATE RULES
1.1 Registration:To use the application, you will need to register. You may not register if you do not meet all the following statements. Therefore, to use Mate, you must: (i) Be an individual of at least 18 years of age, (ii) Be legally capable of entering into contracts under the laws of the country where you are located, (iii) Not have more than one account on our services, and (iv) Not have been previously removed from our platform unless you have been authorized to do so.You can create an account via manual registration (with email and password) or through Apple or Google registration systems.Unfortunately, we cannot allow the use of another person's account or the sharing of individual accounts among multiple users.
1.2 Responsibilities:You agree to:Comply with these Terms and periodically review this page to stay informed of any changes.Behave in accordance with current legislation (in matters of privacy, intellectual property, or anti-spam).You agree that you will not:Impersonate another person or entity regarding your identity, age, or affiliations.Use the Services in a way that damages the Services or prevents their use by other users.Interfere, disrupt, or negatively affect the platform, services, or networks related to our Services.Harass, intimidate, stalk, bully, assault, defame, harm, or abuse others in any way, nor cause psychological harm.Post or share prohibited content.Request passwords or personally identifiable information for commercial or illegal purposes from other users, or disseminate someone's personal information without their consent.Ask for money or other valuables from other users, whether as a gift, loan, or any form of compensation.Use another user's account.Engage in fraudulent practices, pyramid schemes, or other similar activities using our Services.Use the Services to fund political campaigns or influence elections, except to share your own political opinions.Copy, modify, transmit, distribute, or create derivative works from any member content, our content, material, images, trademarks, trade names, or service marks protected by copyright without Mate's prior written consent.Use robots, crawlers, site search/retrieval applications, proxies, or other automated or manual devices or methods to access, retrieve, index, "data mine," or bypass the navigation structure or presentation of our Services or their content.Upload viruses or other malicious code that compromises the security of our Services.Falsify headers or manipulate identifiers to disguise the origin of any information transmitted to or through our Services.Modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile, or disassemble any part of the Service, nor permit others to do so.Promote or accept participation in activities that violate these Terms.Create a new account after we have suspended or terminated your account unless you receive our express permission.Submit complaints about a member's behavior or content that are false, misleading, or obviously unfounded, nor abuse any reporting or appeal systems available from Mate.Create a profile on the Mate platform solely for the purpose of promoting other services or redirecting our users to another platform. Similarly, you may not engage in such promotions on your personal profile.
Prohibited Content:Content must not be offensive, harassing, obscene, pornographic, violent, threatening, discriminatory, or promoting hate, racism, sexism, or intolerance. It must not encourage illegal activities, terrorism, self-harm, eating disorders, dangerous challenges, violent extremism, nor be defamatory, injurious, or false. It must also not be related to inappropriate commercial activities, the transmission of spam, or contain malicious software like viruses or spyware.
2. TYPES OF CONTENT ON MATE
There are three types of content you can access on the Mate App:Content that you upload and provide ("Your Content");Content provided by members ("Member Content"); andContent provided by the Mate Group (including, without limitation, database(s) and/or software) ("Our Content").It is crucial to understand your rights and responsibilities regarding the content on our Services. We do not allow certain content on Mate.We want our users to express themselves freely, but we must impose restrictions on certain content that:Contains language or images that may be considered offensive or likely to harass, annoy, embarrass, alarm, or irritate any other person (including, for example and without limitation, language that may be considered discriminatory based on race, color, ethnicity, national origin, religion, disability, sexual orientation, gender expression, gender identity, or physical appearance).Is obscene, pornographic, violent, or otherwise offensive to human dignity.Is abusive, insulting, or threatening, discriminatory, or promotes or encourages racism, sexism, hate, or intolerance.Encourages any illegal activity, including, without limitation, terrorism, incitement to racial hatred, or the commission of a criminal offense.Is defamatory or slanderous.Relates to commercial activities (including, without limitation, sales, competitions, and advertising, links to other websites, or premium phone numbers).Involves the transmission of "junk mail" or "spam."Contains spyware, adware, viruses, corrupt files, worms, or any other malicious code.Infringes the rights of third parties (including, without limitation, intellectual property rights and privacy rights).Displays another person without their consent.Is harmful to minors.Impersonates any other person, including falsely stating your name.Mate does not tolerate this type of content. For more information, see the guidelines set forth in this contract.
2.1 Your Content:You are responsible for Your Content and must ensure that it complies with our Guidelines, which are updated periodically. As unique, you are responsible and legally liable for Your Content, and you will indemnify, defend, release, and hold us harmless from any claims related to Your Content.You must not display contact or banking information in your individual profile, whether it is yours or anyone else's. If you choose to disclose any personal information to other users, whether by email or otherwise, you do so at your own risk. We recommend that you use the same caution when disclosing details about yourself to third parties online as you would in any other circumstance.Since Mate is a public community, Your Content will be visible to other users of the App, so you should ensure that you are comfortable sharing it before posting it. By uploading Your Content to Mate, you represent and warrant that you have all the necessary rights and licenses to do so, and you automatically grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use Your Content.We may assign and/or sublicense this license to our affiliates and successors without any additional approval from you.We have no obligation to store Your Content, so if it is important, you should make a copy.To prevent unauthorized use of Your Content by other members or third parties outside the App, you authorize us to act on your behalf concerning such unauthorized uses. This includes the authority, but not the obligation, to send takedown notices on your behalf if Your Content is taken and used by third parties outside the App.
2.2 Member Content:Other members of Mate will also share content through the App. Member Content belongs to the user who posted it and is stored on our servers and displayed through the App according to the instructions of the user who provides the Member Content.You have no rights to Member Content and may only use other users' personal information to the extent that your use aligns with the App's purpose of allowing people to get to know each other. You may not use other users' information for commercial purposes, to send spam, harass, stalk, or make illegal threats. We reserve the right to terminate your account if you misuse other users' information.
2.3 Our Content:All remaining content on Mate belongs to us. Any other text, content, graphics, user interfaces, trademarks, logos, sounds, artwork, and other intellectual property appearing in the App, as well as the App's software and database(s), are the property of YOUR MATES TECH S.L. and are protected by copyright, trademark, and other intellectual property laws.All rights, titles, and interests in Our Content remain with us at all times.We grant you a limited, non-exclusive, personal, non-transferable, and revocable license to access and use Our Content, without the right to sublicense, under the following conditions:You must not use, sell, modify, or distribute Our Content except as permitted by the functionality of the App.You must not use our name in metatags, keywords, and/or hidden text.You must not create derivative works from Our Content nor disassemble, decompile, analyze, or commercially exploit Our Content in any way.You must use Our Content only for legal purposes.We reserve all other rights.
NO OBLIGATION TO PRE-SCREEN CONTENTAs Mate is an online community, we generally avoid intervening and, therefore, assume no obligation to pre-screen Your Content or Member Content. However, there may be times when we need to intervene, and we reserve the right to review, pre-screen, reject, and/or remove any Member Content and Your Content, including content exchanged between users in direct messages.
4. PRIVACY
For information on how Mate collects, uses, and shares personal data, please review our Privacy Policy.
4.1 Right of Withdrawal: According to current legislation, the user has the right to withdraw from this contract within 14 calendar days without providing any justification. The withdrawal period will expire 14 calendar days from the date the contract is concluded.To exercise the right of withdrawal, the user must notify their decision to withdraw from the contract through an unequivocal statement sent by email to the address contact@mateapp.es. The user may use the withdrawal form provided, although its use is not mandatory.Since no payments are currently made for the use of our services, there is no place for refunds. However, upon receiving the withdrawal notification, we will proceed to delete the user's account and all associated data, in accordance with our Privacy Policy, without undue delay and, in any case, no later than 14 calendar days from the date we are informed of the decision to withdraw from this contract.
5. ACCOUNT CANCELLATION/DELETION
If you decide to stop using our Services or if we cancel your account for any reason, here's what you need to know:You can delete your account at any time by logging into the MATE App. Go to "Settings," select "Delete account," and follow the instructions to complete the process.Mate reserves the right to investigate and, if necessary, suspend or cancel your account if we believe you have violated our Terms, misused our Services, or behaved inappropriately or illegally within or outside our Services. We may use any available means to enforce the Terms at any time, without any liability and without prior notice, including, but not limited to, preventing your access to the Services.If your account is canceled, whether by you or by Mate, these Terms will remain in effect, and you will not be entitled to any refund for purchases made. Your information will be managed and deleted in accordance with our Privacy Policy.
6. NOTIFICATIONS AND LOCATION-BASED FEATURES
At Mate, we may provide you with emails, text messages, push notifications, alerts, and other messages related to our application and services, such as updates, offers, products, events, and other promotions. After downloading the application, you will be asked to accept or decline push notifications/alerts. If you decline, you will not receive any push notifications/alerts. If you accept, notifications will be sent automatically. If at any time you no longer wish to receive push notifications/alerts, you can unsubscribe by changing the notification settings on your mobile device or adjusting notifications in the application settings under "Notifications." For other types of messages or communications, such as emails or text messages, you can unsubscribe by following the specific instructions included in those communications or by sending us an email with your request.The Mate application may allow you to access or make available to you opportunities to view certain content and receive other products, recommendations, services, and/or materials based on your location. To make these opportunities available, the application will determine your location using one or more reference points, such as GPS, Bluetooth, and/or software within your mobile device. If you have set your mobile device to disable GPS, Bluetooth, or other location-determining software, or do not authorize the application to access your location data, you will not be able to access such location-specific content, products, services, and materials. 7. LIMITATION OF LIABILITY
Mate services are provided as they are, without any specific guarantee regarding their content or functions.
Provision of Services
MATE PROVIDES ITS SERVICES EXACTLY AS PRESENTED AND "AS AVAILABLE." TO THE EXTENT PERMITTED BY LAW, WE OFFER NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT:OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.DEFECTS OR ERRORS WILL BE CORRECTED.THE CONTENT OR INFORMATION OBTAINED WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSES.WE ALSO DO NOT GUARANTEE THE NUMBER OF ACTIVE USERS, THEIR ABILITY OR DESIRE TO COMMUNICATE, COMPATIBILITY WITH OTHER USERS, OR THEIR BEHAVIOR.
Responsibility
MATE IS NOT RESPONSIBLE FOR THE CONTENT THAT YOU, ANOTHER USER, OR THIRD PARTIES POST, SEND, OR RECEIVE THROUGH OUR SERVICES. WE ALSO DO NOT GUARANTEE THE IDENTITY, INTENTIONS, LEGITIMACY, OR TRUTHFULNESS OF ANY USER WITH WHOM YOU COMMUNICATE. THE USE OF MATERIAL DOWNLOADED OR OBTAINED THROUGH OUR SERVICES IS AT YOUR OWN RISK.WE ARE NOT RESPONSIBLE FOR DAMAGES TO YOUR HARDWARE OR SOFTWARE, NOR FOR SECURITY ISSUES, VIRUSES, ERRORS, HACKING, FRAUD, INTERRUPTIONS, DEFECTS, OPERATIONAL DELAYS, NETWORK FAILURES, OR ANY OTHER TECHNICAL PROBLEM OR INTERRUPTION YOU MAY EXPERIENCE.
Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER MATE NOR ITS AFFILIATES, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS WILL BE LIABLE FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR INCREASED DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, REPUTATION, OR OTHER INTANGIBLE LOSSES RESULTING FROM:YOUR ACCESS TO OR USE OF MATE SERVICES, OR THE INABILITY TO DO SO.THE CONDUCT OR CONTENT OF OTHER USERS OR THIRD PARTIES IN CONNECTION WITH OUR SERVICES.UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT, EVEN IF MATE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.IN NO EVENT WILL MATE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED €50,000 OR THE AMOUNT PAID BY YOU TO MATE IN THE 24 MONTHS PRIOR TO THE CLAIM.THE LIMITATIONS OF LIABILITY WILL APPLY EVEN IF THE REMEDIES UNDER THIS AGREEMENT DO NOT FULFILL THEIR ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
9. THIRD-PARTY ADVERTISING AND CONTENT
As a Mate user, you may see third-party advertisements or promotions within our application. Mate is not responsible for any interaction you have with such services or products.Our services within the Mate application may include advertisements and promotions offered by third parties, as well as links to other websites or external resources. In some cases, Mate may provide non-commercial links or references to third parties within its content. It is important to note that Mate is not responsible for the availability or lack thereof of any external website or resource, nor for their content. Similarly, Mate is not responsible for the products or services that may be offered by third-party websites or resources, nor does it endorse or support them.If you decide to interact with third parties made available to you through our services, the terms and conditions of those parties will govern your relationship with them. Mate is not responsible for the terms, conditions, or actions of these third parties. We recommend that you carefully review the policies and Terms of service of any third party before interacting with them or using their services.Our goal is to provide you with a safe and enriching experience, but it is crucial that you are informed about the nature of the links and promotions you encounter on our platform. The responsibility for the decisions you make when interacting with third parties lies entirely with you.
10. DISPUTE RESOLUTION PROCEDURE (Jurisdiction)
If you believe that any content in the application infringes your rights or if you are simply dissatisfied with it, please first contact Mate customer service without the need for external assistance. If, after this communication, you decide to file a dispute, claim, or controversy, it will be litigated exclusively in the courts of Barcelona, Spain.
11. TERMINATION AND REMEDIES
These Terms begin on the date you accept them and continue until they are terminated in accordance with the Terms set forth here.If you wish to terminate these Terms, you may do so by (a) notifying Mate at any time, and (b) closing your Account. Your notice must be sent to Mate's address (gcorrea@mateapp.es).Mate may terminate or suspend these Terms, including your Account, if you breach these Terms or if Mate is required to do so by applicable law. You agree that all terminations for cause will be made at Mate's sole discretion and that Mate will not be liable to you or any third party for any termination of your Account.In the event that Mate determines, at its sole discretion, that you have breached any part of these Terms or have demonstrated inappropriate behavior for the Application, Mate reserves the right to:(a) warn you via email (to any email address you have provided to Mate) that you have violated the Terms;(b) delete your User Content;(c) discontinue your Account;(d) discontinue your Subscription Service;(e) notify and/or send your User Content to and/or fully cooperate with the appropriate law enforcement authorities to take further action; and/or(f) take any other action that Mate deems appropriate.The termination of these Terms or your Account includes the removal of access to your Account and all related information and content associated with or within your Account.All provisions of these Terms that by their nature should survive, will survive the termination of these Terms.
12. APPLICABLE LAW AND FORUM SELECTION
Our Content and any Member Content, as well as any claim arising out of or relating to your relationship with the Mate application, will be governed by the laws of the Spanish state.All claims arising out of or relating to these Terms and/or your relationship with the Mate application will be litigated exclusively in the courts of the city of Barcelona, Spain. You agree that such courts will have personal jurisdiction and competence, and you waive any objection based on an inconvenient forum.
13. ACCEPTANCE OF THE TERMS AND CONDITIONS
These Terms constitute a legally binding agreement between you as a user and YOUR MATES TECH S.L.The Terms were updated on August 6, 2024.
